Item 8.01. Other Events. On February 3, 2025, the Registration Statement on Form S-1 (the "Registration Statement") filed by Nexalin Technology, Inc. (the "Company") was declared effective by the Securities and Exchange Commission. The Registration Statement covers up to 2,798,613 shares of the Company's common stock, consisting of (i) up to 347,250 Shares issuable upon the exercise of the common stock purchase warrant that was issued to Maxim Partners, LLC ("Maxim Partners") as compensation for its services in connection with the Company's 2022 initial public offering; (ii) up to 2,315,000 Shares issuable upon the exercise of the common stock purchase warrants issued to purchasers of Units (containing both a share of common stock and a common stock purchase warrant) in connection the Company's 2022 public offering; and (iii) 136,363 shares of common stock issued to Maxim Partners pursuant to a renewal of its engagement agreement with the Company. All warrants are exercisable at a price of $4.15 per share of the Company's common stock.
