01. Entry into a Material Definitive Agreement
Item 1.01. Entry into a Material Definitive Agreement. On August 14, 2025, Odyssey Health, Inc., entered into Amendment No. 1 to the Promissory Note entered into on August 14, 2024, with Peter J. D'Arruda, an accredited investor. Pursuant to the Amendment No. 1, the parties have agreed to extend the maturity date of the note to January 31, 2026. All other terms and conditions remain the same. Amendment No. 1 to the Promissory Note is attached as Exhibit 10.1 to this Current Report on Form is and is incorporated herein by reference.
