Item 1.01. Entry into a Material Definitive Agreement. On October 9, 2025, Odyssey Health, Inc. entered into Amendment No. 6 to the Promissory Note issued on December 13, 2022, with Mast Hill Fund, L.P. Pursuant to Amendment No. 6, the parties have agreed to extend the maturity date of the note to April 30, 2026, and Section 4.16 "Amortization Payments" was deleted in its entirety. All other terms and conditions remain the same. Amendment No. 6 to the Promissory Note is attached as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
