Item 5.07 Submission of Matters to a Vote of Security Holders. As Safe & Green Holdings Corp. (the "Company") previously reported in a Current Report on Form 8-K filed on October 1, 2024 (the "Original Form 8-K"), at the Company's 2024 Annual Meeting held on September 27, 2024, the shareholders approved the frequency of future advisory votes on the compensation of the Company's named executive officers as set forth in the table below: 1 Year 2 Years 3 Years Abstain Broker Non-Votes 455,278 5,065 16,478 86,576 306,198 The sole purpose of this amendment (the "Amendment") is to disclose, in accordance with the requirements of Item 5.07(d) of Form 8-K, that based upon these results, which were consistent with the recommendation of the Company's Board of Directors (the "Board"), the Board has determined that the Company will continue to hold an advisory vote on the compensation of the named executive officers annually until the next vote on the frequency of holding such advisory votes.
