Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year On September 8, 2025, the Board of Directors of Old Market Capital Corporation (the "Company") approved an amendment to the Company's Bylaws ("Amendment No. 1 to the Bylaws") to change the Company's fiscal year end from March 31 to December 31, effective as of October 1, 2025. The foregoing description of Amendment No. 1 to the Bylaws does not purport to be complete and is subject to and qualified in its entirety by reference to the full text of Amendment No. 1 to the Bylaws, a copy of which is attached hereto as Exhibit 3.1 and is incorporated herein by reference. As a result of the change in the Company's fiscal year end, the Company will file a transition report on Form 10-KT for the period from April 1, 2025 to December 31, 2025, which represents the transition period between the closing of the Company's most recent fiscal year and the commencement of its newly adopted fiscal year.
