Item 5.07 Submission of Matters to a Vote of Security Holders. OneMain Holdings, Inc. (the "Company") held its 2024 Annual Meeting of Stockholders (the "2024 Annual Meeting") on Wednesday, June 12, 2024. Stockholders holding 108,122,879 shares of the Company's common stock were present in person or represented by proxy at the 2024 Annual Meeting, which represented approximately 90.23% of the 119,825,391 shares of the Company's common stock that were issued and outstanding as of the April 17, 2024 record date for the 2024 Annual Meeting. At the 2024 Annual Meeting, the following proposals were presented for vote by Company's stockholders: (i) to elect Philip L. Bronner, Toos N. Daruvala and Douglas H. Shulman as Class II directors to serve until the 2027 annual meeting of stockholders, and until such director's successor has been elected and qualified, or until such director's earlier death, resignation or removal (the "Director Election Proposal") and (ii) to ratify the appointment of PricewaterhouseCoopers LLP as the Company's independent registered public accounting firm for the fiscal year ending December 31, 2024 (the "Auditor Ratification Proposal"). No other matters were submitted for stockholder action. At the 2024 Annual Meeting, Messrs. Bronner, Daruvala and Shulman were elected as Class II directors and the Auditor Ratification Proposal was approved by the votes set forth below: 1.
