Item 8.01 Other Events On June 30, 2024, the Board of Directors (the " Board ") of Oculus VisionTech Inc. (the " Company ") adopted a Share Trading Policy (the " Policy "), with an effective date of June 30, 2024. The purpose of the Policy is to prescribe rules for restricted persons and employees with respect to trading in securities of the Company by these individuals when there is undisclosed material information or pending material developments with respect to the Company. Strict adherence to the Policy and included guidelines will ensure that restricted persons and employees who have access to undisclosed material information will not make use of it by trading in securities of the Company before the information has been fully disclosed to the public and a reasonable period of time for the dissemination of that information has passed.
