The letter of intent contemplates that the Company will enter into a business combination with the stakeholders or equity holders in Dacta with a change of control. The letter of intent is intended to serve as an outline of the proposed principal terms and conditions regarding the acquisition and is subject to the execution and closing of a definitive agreement and contemplates that each party will conduct a business, financial, and legal due diligence investigation of the other, each to their satisfaction. Dacta provides solutions in cybersecurity, digital transformation and artificial intelligence to support its clients protection of sensitive data, proved efficiency and innovation and offers computational power, preparing it customers for future challenges and opportunities.
