Item 1.01. Entry into a Material Definitive Agreement. On June 11, 2024, the Registration Statement on Form S-1 (File No. 333-279598) (the "Registration Statement") relating to the initial public offering (the "IPO") of Perceptive Capital Solutions Corp (the "Company") was declared effective by the U.S. Securities and Exchange Commission. On June 13, 2024 the Company consummated the IPO of 8,625,000 Class A ordinary shares, $0.0001 par value per share (the "Public Shares"), which includes the exercise in full of the underwriters' option to purchase an additional 1,125,000 Public Shares at the initial public offering price to cover over-allotments. The Public Shares were sold at an offering price of $10.00 per Public Share, generating gross proceeds of $86,250,000. Item 3.02. Unregistered Sales of Equity Securities. Simultaneous with the consummation of the IPO and the issuance and sale of the Public Shares, the Company consummated the private placement of 286,250 Private Placement Shares at a price of $10.00 per Private Placement Share, generating total proceeds of $2,862,500. The Private Placement Shares purchased by the Sponsor are substantially similar to the Public Shares, except that if held by the Sponsor or its permitted transferees, they will be subject to transfer restrictions until 30 days following the consummation of the Company's initial business combination, subject to certain limited exceptions.
