At the Annual Meeting, shareholders considered two proposals as described in the Fund's proxy statement filed on July 29, 2025. At the close of business on the record date, June 30, 2025, the Fund had 6,593,650.505 common shares of beneficial interest outstanding and entitled to vote at the Annual Meeting. The final results of the voting on the matters submitted to shareholders at the Annual Meeting are set forth below. Proposal 1: Shareholders elected the Class II Trustee to the Fund's Board of Trustees, to serve until the 2028 annual meeting of shareholders and until his successor is duly elected and qualified.
