(the "Company") held its 2024 Annual Meeting of Stockholders (the "Annual Meeting") to consider and vote on the following three proposals, each of which is described in greater detail in the Company's definitive proxy statement filed with the Securities and Exchange Commission on April 29, 2024: 1. To elect two Class I directors (Ben Kohn and Suhail Rizvi) to the Company's Board of Directors; 2. To ratify the appointment of BDO USA, P.C. as the Company's independent registered public accounting firm for the fiscal year ending December 31, 2024; and 3. To hold a non-binding, advisory vote to approve the compensation of the Company's named executive officers ("Say on Pay").
