Item 7.01. Regulation FD Disclosure. On March 4, 2024, Planet 13 Holdings Inc. (the "Company") announced the commencement of an underwritten public offering of its units (the "Offering"), each consisting of one share of common stock, no par value, of the Company ("Common Stock") and a warrant to purchase one share of Common Stock. The Company will file with the Securities and Exchange Commission a preliminary prospectus supplement (the "Preliminary Prospectus Supplement") to its effective shelf registration statement on Form S-3 (Registration No. No. 333-274829) pursuant to Rule 424(b)(3) under the Securities Act of 1933, as amended (the "Securities Act"), relating to the Offering. On March 4, 2024, the Company issued a press release announcing the commencement of the Offering. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated into this Item 7.01 by reference. In connection with the Offering, the Company intends to provide certain additional disclosures to investors related to the Company's previously announced acquisition (the "Pending Acquisition") of VidaCann, LLC ("VidaCann") and the Company's related sale of all of the issued and outstanding shares of common stock of Planet 13 Florida Inc. (the "Pending Disposition" and, together with the Pending Acquisition, the "Pending Transactions"), which owns a Florida Medical Marijuana Treatment Center license (the "MMTC License"). The sale of the MMTC License is a closing condition to the Pending Acquisition. The Pending Transactions are expected to close in the first quarter of 2024 or early in the second quarter of 2024, subject to customary closing conditions, including the receipt of approval from the applicable state cannabis regulators.
