Item 5.07 Submission of Matters to a Vote of Security Holders The annual general meeting ("Meeting") of stockholders ("Stockholders") of Planet 13 Holdings Inc. (the "Company") was held on Tuesday, June 11, 2024. Proxies for the Meeting were solicited pursuant to Section 14(a) of the Securities Exchange Act of 1934, as amended. At the Meeting, the Company's Stockholders voted on two proposals. The proposals are described in detail in the Company's Proxy Statement on Schedule 14A, which was filed with the Securities and Exchange Commission on April 25, 2024 (the "Proxy Statement"). A brief description and the final vote results for the proposals follow. (1) To elect five directors for the ensuing year to hold office until the close of business of the next annual meeting of Stockholders or until their successors are elected or appointed.
