Item 5.07. Submission of Matters to a Vote of Security Holders. On June 5, 2024, Plug Power Inc. (the "Company") held its annual meeting of stockholders (the "Annual Meeting"). Proxies were solicited pursuant to Section 14(a) of the Securities Exchange Act of 1934, as amended. At the Annual Meeting, the Company's stockholders voted upon the following matters: 1. The election of each of Andrew J. Marsh, Maureen O. Helmer and Kavita Mahtani as a Class I Director, each to hold office until the Company's 2027 annual meeting of stockholders and until such director's successor is duly elected and qualified or until such director's earlier resignation or removal. 2. The approval of the non-binding, advisory resolution regarding the compensation of the Company's named executive officers. 3. The ratification of Deloitte & Touche LLP ("Deloitte") as the Company's independent registered public accounting firm for the fiscal year ending December 31, 2024.
