01 Other Events
Item 8.01 Other Events. As previously disclosed, on July 2, 2025, Pluri Inc. (the "Company") informed the Listing Qualifications Department of The Nasdaq Stock Market LLC ("Nasdaq") that its Audit Committee did not meet the independence requirements under Nasdaq Listing Rule 5605(c)(2)(A) (the "Audit Committee Requirement") following the non-election of a director at the Company's annual shareholders meeting held on June 30, 2025. Nasdaq subsequently provided the Company with a letter indicating non-compliance and granted it a cure period, pursuant to Listing Rule 5605(c)(4). Following the Company's announcement on September 11, 2025 of the election of Mr. Eitan Ajchenbaum as an independent director and as a member and Chairman of the Audit Committee, the Company received a letter from Nasdaq confirming that it had regained compliance with the Audit Committee Requirement and that the matter is now closed. 1
