On August 29, 2025, Dawn Farrell, a member of the Board of Directors of Portland General Electric (the "Company") notified the Company of her intention to resign from the Company's Board of Directors to accept an appointment with the Canadian government as the Chief Executive Officer of the newly created Major Projects Office launched by the Prime Minister of Canada under the Building Canada Act. The Company is appreciative of Ms. Farrell's contributions to the Board. Ms. Farrell joined the Company's Board of Directors in 2022 and was a member of the Finance and Operations Committee and the Nominating, Governance and Sustainability Committee.
