Item 2.02. Results of Operations and Financial Condition. On November 20, 2025, Post Holdings, Inc. (the "Company") issued a press release announcing results for its fourth fiscal quarter and fiscal year ended September 30, 2025. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference. The information contained in this Item 2.02 and Exhibit 99.1 attached hereto shall not be deemed to be "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), or otherwise subject to the liabilities of that Section, nor shall it be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth by specific reference in such filing. Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On November 18, 2025, William P. Stiritz, Chairman of the Company's Board of Directors (the "Board"), notified the Company of his decision to retire from the Board. Mr. Stiritz, age 91, has been Chairman of the Board since February 2012 and previously served as the Company's Chief Executive Officer from February 2012 until November 2014 and the Company's Executive Chairman from November 2014 until February 2016. Mr. Stiritz's announced retirement was not due to any disagreement with the Company on any matter. Mr. Stiritz's retirement from the Board and all committees thereof will be effective on December 16, 2025, and upon his retirement, Mr. Stiritz will become the Board's honorary Chairman Emeritus. In connection with Mr. Stiritz's retirement from the Board, on November 19, 2025, the Board appointed Robert V. Vitale, age 59, the Company's President and Chief Executive Officer and current member of the Board, to also serve as Chairman of the Board, effective upon Mr. Stiritz's retirement.
