(the "Company") issued a press release to announce that its special committee of independent and disinterested directors of the Company's Board of Directors (the "Special Committee") has retained Barclays to act as its financial advisor and Paul, Weiss, Rifkind, Wharton & Garrison LLP to act as its independent legal counsel in connection with the Special Committee's evaluation of the preliminary, non-binding proposal, dated November 9, 2025, by Thomas Priore, the Company's Chairman and Executive Officer.
