01. Entry into a Material Definitive Agreement
Item 1.01. Entry into a Material Definitive Agreement. On January 27, 2025, Regis Corporation (the "Company") entered into Amendment No. 1 (the "Amendment") to that certain Tax Benefits Preservation Plan, dated as of January 29, 2024 (the "Plan"), by and between the Company and Equiniti Trust Company, LLC, as rights agent. The Amendment extends the expiration date of the Plan (the "Extension") from January 29, 2025, to January 29, 2028 (subject to other earlier termination events, as enumerated in Section 7(a) of the Plan). Pursuant to the terms of the Plan, the Company will submit the Extension to its shareholders for ratification at the next annual or special meeting of its shareholders. The Plan is described in and included as exhibit 4.1 to the Company's Current Report on Form 8-K filed with the Securities and Exchange Commission on January 30, 2024.
