As previously disclosed in our prior filings with the Securities and Exchange Commission, on January 21, 2022, Shiva Stein and Kevin McCarty filed a shareholder derivative action in the Southern District of Texas, Houston Division against certain of our current and former officers and directors as defendants, as well as against RCI Hospitality Holdings, Inc. as nominal defendant, which action is styled Stein v. Anakar, et al., No. 4:22-mc-00149 (S.D. Tex.). In compliance with the Order Preliminarily Approving Settlement and Providing for Notice entered by the Court on May 13, 2024, we are filing this current report on Form 8-K and including as Exhibit 99.1 a copy of the Notice of Proposed Derivative Settlement and of Settlement Hearing (the "Notice") and the Stipulation and Agreement of Settlement, dated October 10, 2023 (the "Stipulation").
