01 Entry into a Material Definitive Agreement
Item 1.01 Entry into a Material Definitive Agreement. On September 23, 2024, Rivulet Entertainment, Inc., (f/k/a Advanced Voice Recognition Systems, Inc.) a Nevada corporation ("the Company"), and Rivulet Media, Inc., a Delaware corporation (Rivulet), collectively the Parties, entered into an addendum that amended the Asset Purchase Agreement (the "Purchase Agreement"), dated March 1, 2024 to include the Non Objecting Beneficial Owners of shares of common stock that had not been included in the original agreement.. Accordingly, the Purchase Agreement was amended as to the stock amount by increasing the number of shares by 1,698,209 for a total of 96,722,950 shares. All other terms and conditions of the Purchase Agreement shall remain in full force and effect.
