Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. On May 16, 2024, Mesa Air Group, Inc. (the "Company") received a notification letter (the "Notice") from the Listing Qualifications Department of The Nasdaq Stock Market LLC ("Nasdaq") indicating that, as a result of the Company's delay in filing its Quarterly Report on Form 10-Q for the period ended March 31, 2024 (the "2 nd Quarter Form 10-Q") with the Securities and Exchange Commission (the "SEC"), the Company is not in compliance with the requirements for continued listing under Nasdaq Listing Rule 5250(c)(1) (the "Listing Rule"). The filing delay is not the result of a forthcoming restatement of the Company's financial statements or any disagreement with the Company's auditors. The notification letter has no immediate effect on the listing or trading of the Company's common stock on the Nasdaq Capital Market. The Notice states that, because of its prior delinquency in filing its Form 10-Q for the period ended December 31, 2023 (the "Initial Delinquent Filing"), the Company has 180 calendar days from the due date of the Initial Delinquent Filing, or August 12, 2024, to file the 2 nd Quarter Form 10-Q to regain compliance. The Company continues to work diligently to complete the Form 10-Qs for the periods ended December 31, 2023 and March 31, 2024 and plans to file both Form 10-Qs prior to August 12, 2024 to regain compliance with the Listing Rule.
