Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. On January 15, 2025, Mesa Air Group, Inc. (the "Company") received a notification letter (the "Notice") from the Listing Qualifications Department of The Nasdaq Stock Market LLC ("Nasdaq") indicating that, as a result of the Company's delay in filing its Annual Report on Form 10-K for the period ended September 30, 2024 (the "Form 10-K") with the Securities and Exchange Commission (the "SEC"), the Company is not in compliance with the requirements for continued listing under Nasdaq Listing Rule 5250(c)(1) (the "Listing Rule"). The filing delay is not the result of a forthcoming restatement of the Company's financial statements or any disagreement with the Company's auditors. The Notice has no immediate effect on the listing or trading of the Company's common stock on the Nasdaq Capital Market. The Notice states that the Company has 60 calendar days from the date of the Notice to submit a plan to regain compliance with the Listing Rule. If Nasdaq accepts the Company's plan to regain compliance, then Nasdaq may grant the Company up to 180 calendar days from the prescribed due date of the Form 10-K, or until July 14, 2025, to file the Form 10-K to regain compliance. The Company continues to work diligently to complete the Form 10-K and plans to file the Form 10-K well in advance of the 60-day notice period and expects to regain compliance with the Listing Rule.
