Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. The Board of Directors of Regal Rexnord Corporation (the " Company ") approved an amendment and restatement of the Company's Amended and Restated Articles of Incorporation (the " Articles of Incorporation ") to effect a change in the Company's registered office and registered agent contained in Article VIII thereto. The Articles of Amendment and Restatement to the Company's Articles of Incorporation, to reflect the change in the Company's registered office and registered agent, were originally filed with the Wisconsin Department of Financial Institutions on July 24, 2024, and the currently effective version of the Articles of Incorporation became effective on July 26, 2024. A copy of the Company's Amended and Restated Articles of Incorporation, effective July 24, 2024, is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
