Item 2.02. Results of Operations and Financial Condition. On February 15, 2024, Reliance, Inc. (the "Company") issued a press release announcing financial results for the quarter ended December 31, 2023. 03. Amendments to Articles of Incorporation

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On February 14, 2024, Reliance Steel & Aluminum Co. changed its corporate name to Reliance, Inc. (the "Name Change") by filing with the Secretary of State of the State of Delaware a Certificate of Amendment (the "Certificate of Amendment") to its Restated Certificate of Incorporation. The Board of Directors of the Company (the "Board") approved the Name Change pursuant to Section 242 of the General Corporation Law of the State of Delaware (the "DGCL"). The Name Change does not affect the rights of the Company's stockholders. The Board also amended and restated the Company's Amended and Restated Bylaws, effective as of the filing of the Certificate of Amendment, to reflect the Name Change and make certain other updates. Among other changes, the Amended and Restated Bylaws (i) update the procedures and information requirements for the nomination of persons for election to the Board and the proposal of business to be considered by stockholders, including to address matters relating to the universal proxy rules set forth in Rule 14a-19 under the Securities Exchange Act of 1934, as amended, and (ii) to make certain other administrative, clarifying and conforming changes, including changes to reflect recent updates to the DGCL. The Company's common stock will continue to be traded on the New York Stock Exchange under the ticker symbol "RS " and the CUSIP number for its common stock will also remain unchanged. No action is required by stockholders in connection with the name change.
