Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On December 26, 2024, the Board of Directors of Ryerson Holding Corporation (the "Company") adopted amended and restated bylaws (as amended and restated, the "A&R Bylaws"), effective as of December 26, 2024. The A&R Bylaws delete certain obsolete provisions relating to the equity ownership of the Company's former controlling shareholder and implement additional immaterial technical and conforming changes. The A&R Bylaws also align the Company's bylaws with certain developments in Delaware law and current practice and update and expand certain procedural and informational requirements for shareholder nominations for election of directors or proposals of business at the Company's shareholder meetings pursuant to the Company's "advance notice" provisions.
