The Annual Meeting is scheduled for 1:00 p.m., Eastern Time, on June 20, 2024, via audio teleconference. At the Annual Meeting, shareholders of the Fund are being asked to approve the election of four nominees to the Board of Trustees of the Fund (“Proposal One”). The shareholders of the Fund will be further asked to consent to an amendment to the Fund’s Declaration of Trust in order to effectuate the declassification of the Fund’s Board (“Proposal Two and collectively with Proposal One, the “Proposals”). Formal Notice of the Annual Meeting appears on the next page, followed by the proxy statement (the “Proxy Statement”).
