("Minera Mexico" or the "Company"), an indirect subsidiary of Southern Copper Corporation, priced US$1.0 billion aggregate principal amount of 5.625% Senior Notes due 2032, in an unregistered offering pursuant to Rule 144A and Regulation S under the Securities Act of 1933. The transaction is expected to close on February 12, 2025, subject to customary closing conditions. The Company intends to use the net proceeds from this offering (i) for capital expenditures and (ii) for general corporate purposes. The 5.625% Senior Notes due 2032 have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
