Item 8.01. Other Events. By letter dated January 21, 2025, The Nasdaq Stock Market LLC (" Nasdaq ") notified Scilex Holding Company (the " Company ") that it had regained compliance with Nasdaq Listing Rule 5250(c)(1) (the " Listing Rule "). As previously disclosed, the Company received a notice from the Listing Qualifications Department of Nasdaq advising the Company that it was not in compliance with Nasdaq's continued listing requirements under the Listing Rule to timely file all required periodic financial reports with the Securities and Exchange Commission, as a result of its failure to file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2024 (the " Form 10-Q ") in a timely manner. The Company filed its Form 10-Q on January 17, 2025. On January 21, 2025, the Company issued (i) a press release announcing its filing of the Form 10-Q and (ii) a press release announcing that it had regained compliance with the Listing Rule. A copy of each press release is attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively, and is incorporated herein by reference.
