(the "Company") issued a press release announcing the pricing of its offering of $300 million aggregate principal amount of 2.250% convertible senior notes due 2029 (the "Notes") in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. The Company also granted the initial purchasers of the Notes an option to purchase up to an additional $45 million aggregate principal amount of notes, solely to cover over-allotments, if any, within a 13-day period beginning on, and including, the initial closing date. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
