Item 4.01. Change in Registrant's Certifying Accountant Effective December 11, 2025 (the "Dismissal Date"), the Audit Committee (the "Audit Committee") of the Board of Directors (the "Board") of Skillz Inc. (the "Company," "we" or "our") dismissed Grant Thornton LLP ("GT") as the Company's independent registered public accounting firm. The audit reports of GT on the Company's consolidated financial statements for the fiscal years ended December 31, 2024 and December 31, 2023, did not contain an adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope, or accounting principles, except that their report on the consolidated financial statements for year ended December 31, 2024 included an explanatory note related to the adoption of Accounting Standards Update ("ASU") 2023-07, Segment Reporting (Topic 280) . During the fiscal years ended December 31, 2024 and December 31, 2023, and the subsequent interim period through the Dismissal Date, there were no disagreements (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) between the Company and GT on any matter of accounting principles or practices, financial statement disclosures, or auditing scope or procedures, which disagreements, if not resolved to the satisfaction of GT, would have caused it to make reference thereto in its audit reports on the financial statements of the Company for such years.
