01 Entry into a Material Definitive Agreement
Item 1.01 Entry into a Material Definitive Agreement On January 31, 2025, Skyward Re, a wholly owned insurance company subsidiary of Skyward Specialty Insurance Group, Inc., (the "Company"), commuted its existing Loss Portfolio Transfer and Adverse Development and Retrocession Agreement, dated April 1, 2020 with R&Q Re (Bermuda) Ltd. ("R&Q") pursuant to a Commutation Agreement dated February 3, 2025 (the "Commutation Agreement"). Attached hereto as Exhibit 10.1 is the Commutation Agreement, which is incorporated herein by reference.
