01 Other Events

Item 8.01 Other Events. As previously reported, on October 24, 2024, SolarMax Technology, Inc. (the "Company") received a letter from the Listing Qualifications Department (the "Staff") of The Nasdaq Stock Market LLC ("Nasdaq"), notifying the Company that it had failed to comply with the $1.00 per share minimum bid price requirement of Nasdaq Listing Rule 5450(a)(1) and, on October 22, 2024, the Company received a notice from the Staff that the Company does not meet the requirement of Rule 5450(b)(2)(A) that the Company maintain a minimum market value of listed securities of $50,000,000. On December 4, 2024, the Company received a letter from the Staff notifying the Company that the Staff had determined that for ten consecutive business days, from November 19, 2024 to December 3, 2024, the closing bid price for the Company's common stock was at least $1.00 per share, and, accordingly, the Company has regained compliance with Listing Rule 5450(a)(1) and the matter is now closed. There can be no assurance, however, that the Company will be able to maintain compliance with Listing Rule 5450(a)(1) in the future. As of the date of this report, the Company has not regained compliance with the minimum market value of its common stock.
