The engagement was approved by the Company's board of directors by unanimous written consent in lieu of a meeting dated May 23, 2024. (ii) During the Company's fiscal years ended December 31, 2023 and December 31, 2022, and the subsequent interim period through the date of this Report, neither the Company nor anyone acting on its behalf consulted with BDO regarding any of the matters described in Items 304(a)(2)(i) and (ii) of Regulation S-K.
