(the "Company") issued a press release ("Press Release") announcing that the UK's Competition and Markets Authority (the "CMA") intends to refer the Company's previously announced merger with Getty Images Holdings, Inc. ("Getty Images") to a Phase 2 review process unless acceptable undertakings to address their competition concerns are offered. The Company remains committed to the proposed merger and will continue to engage with the CMA and work with Getty Images to expeditiously secure the necessary clearances. A copy of the Press Release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
