The purpose of the annual meeting is to consider and vote on whether: 1. To elect five members of the Board of Directors of the Company to hold office until the next annual meeting or until their successors are duly elected and qualified (Proposal 1); and 2. To transact any other business as may properly come before the annual meeting or any adjournments thereof. VOTING The presence, in person or by proxy, of the holders of a majority of the total number of outstanding shares of common stock entitled to vote constitutes a quorum for the transaction of business at the meeting.
