Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. (d) Transfer of Listing On September 22, 2025, Third Coast Bancshares, Inc. (the "Company"), acting pursuant to authorization from its Board of Directors, provided written notice to The Nasdaq Stock Market LLC ("Nasdaq") that it intends to voluntarily withdraw the principal listing of its common stock, par value $1.00 per share ("Common Stock"), from Nasdaq and transfer the listing of its Common Stock to the New York Stock Exchange (the "NYSE") and to NYSE Texas. The Company expects that listing and trading of its Common Stock on Nasdaq will end at market close on October 3, 2025, and that trading will commence on the NYSE and NYSE Texas at market open on October 6, 2025. The Common Stock has been authorized for dual listing on NYSE and NYSE Texas, where it will continue to trade under the stock symbol "TCBX."
