On July 31, 2024, TransDigm Group Incorporated ("TransDigm") issued a press release (the "Press Release") announcing the completion of the acquisition of Raptor Labs Holdco, LLC (the "Company"), a portfolio company of L Squared Capital Partners, for approximately $655 million in cash, including certain tax benefits. TransDigm financed the acquisition through cash on hand. The entry into the definitive agreement to acquire the Company was previously reported in a Current Report on Form 8-K filed on May 28, 2024. A copy of this Press Release is filed with this Current Report as Exhibit 99.1 and is incorporated herein by reference.
