Item 8.01. Other Events On October 25, 2024, Triumph Financial, Inc. (the "Company") provided notice under that certain Indenture, dated as of September 30, 2016, as supplemented by Second Supplemental Indenture, dated as of November 27, 2019 (the "Indenture"), by and between the Company and Computershare Trust Company, N.A., as successor to Wells Fargo Bank, National Association, that the Company has elected to redeem on November 27, 2024 (the "Redemption Date") all of the Company's $39,500,000 outstanding 4.875% Fixed-to-Floating Rate Subordinated Notes due 2029 (the "Notes") at a redemption price in cash equal to 100% of the principal amount of the Notes, plus accrued and unpaid interest, if any, on the principal amount of the Notes to, but excluding, the Redemption Date. The information contained in this Current Report on Form 8-K does not constitute a notice of redemption of the Notes. Holders of the Notes should refer to the notice of redemption delivered by the trustee to the registered holders of the Notes.
