Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year On September 18, 2024 , the Board of Directors (the "Board") of The TJX Companies, Inc. ("TJX" or the "Company") amended and restated TJX's by-laws. The by-laws were updated to (1) address certain procedural and information requirements for the nomination of directors, including adding provisions relating to universal proxy rules pursuant to Rule 14a-19 of the Exchange Act; (2) revise the requirements regarding the availability of stockholder lists in accordance with Section 219 of the Delaware General Corporation Law; (3) require that a stockholder directly or indirectly soliciting proxies from other stockholders use a proxy card color other than white; and (4) make certain additional conforming, technical, and modernizing revisions. The foregoing description is qualified in its entirety by references to the full text of TJX's by-laws as amended and restated, a copy of which is attached as Exhibit 3.1 and incorporated herein by reference.
