Item 8.01. Other Events. Related to Ms. Wellington's resignation, on September 5, 2024, the Company issued a press release announcing the appointment of Sidney Majalya as the Company's Senior Vice President, Chief Legal Officer and Secretary, effective September 16, 2024, as well as Ms. Wellington's resignation. A copy of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein. On September 5, 2024, with effect on and from September 16, 2024, the Company's Board of Directors designated Mr. Majalya as an executive officer of the Company under Rule 3b-7 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), and as an officer of the Company under Section 16 of the Exchange Act. The Board also appointed Mr. Majalya as Secretary of the Company effective September 16, 2024.
