03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. ReposiTrak, Inc., a Nevada corporation (the " Company "), previously designated 550,000 shares of its authorized preferred stock, par value $0.01 per share, as Series B-1 Preferred Stock (the " Series B-1 Preferred "). On December 9, 2024 (the " Effective Date "), the Company filed a Withdrawal of Certificate of Designation ("the Certificate of Withdrawal ") with the Secretary of State of the State of Nevada and terminated the designation of the Series B-1 Preferred. The filing of the Certificate of Withdrawal was approved by the Company's Board of Directors, and there were no shares of Series B-1 Preferred outstanding on the Effective Date. A copy of the Certificate of Withdrawal is attached hereto as Exhibit 3.1 and incorporated by reference herein.
