Item 8.01 Other Events. On June 4, 2024, PNM Resources, Inc. (the "Company") issued a press release announcing the pricing of an offering of $500,000,000 aggregate principal amount of its 5.75% junior subordinated convertible notes due 2054 (the "Notes") in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. In addition, the Company granted the initial purchasers of the Notes an option to purchase, for settlement within a period of 13 days from, and including, the date the Notes are first issued, up to an additional $50,000,000 aggregate principal amount of the Notes, solely for the purpose of covering over-allotments, if any. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
