On August 27, 2025, the Compensation Committee of the Board of Directors of Usio, Inc., (the "Company") approved a new form of Restricted Stock Unit Agreement (the "RSU Agreement") for use under the Company's 2025 Comprehensive Equity Incentive Plan (the "Plan"). The RSU Agreement will be used for future grants of restricted stock units to eligible employees, officers, and directors of the Company. A copy of the form of RSU Agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
