01. Regulation FD Disclosure

Item 7.01. Regulation FD Disclosure. On August 13, 2025, Veeva Systems Inc., a Delaware public benefit corporation ("Veeva"), entered into a settlement agreement with IQVIA Inc. ("IQVIA") that resolves all ongoing litigations between Veeva and IQVIA (the "Settlement Agreement"). As previously disclosed, Veeva and IQVIA have been involved in litigation since 2017. Under the terms of the Settlement Agreement, neither party will pay damages to the other party and both parties agree to dismiss with prejudice all claims and counterclaims currently pending. In connection with the Settlement Agreement, the parties have also entered into certain agreements to facilitate access to each other's data and software to provide certain products and services to mutual customers. Pursuant to previously disclosed, outcome-based fee arrangements with certain law firms that represented us in our litigations with IQVIA, we will be making a one-time payment of approximately $31 million to such law firms in connection with settlement of the litigations.
