Item 1.01. Entry into a Material Definitive Agreement On January 23, 2025, Vireo Growth Inc. (the " Company ") entered into a letter agreement (the " Letter Agreement ") with Bill's Nursery, Inc., whereby the parties agreed to extend the Exclusivity Period, as defined in that certain Memorandum of Understanding (" MOU ") effective as of December 18, 2024 between the parties, from January 24, 2025 to February 23, 2025. Except as so modified, the parties' obligations under the MOU remain otherwise unchanged. This summary of the Letter Agreement is qualified in its entirety by reference to the full text of the Letter Agreement, which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
