Item 8.01 Other Events. On December 16, 2025, Virtus Investment Partners, Inc. (the "Company"), through its wholly owned subsidiary Virtus Private Markets Holdings, LLC, a Delaware limited liability company, acquired 35% of the equity of Crescent Cove Advisors, LP, a Delaware limited partnership, and ii) Crescent Cove Opportunity GP, LP, a Delaware limited partnership (collectively, "Crescent Cove"). Attached as Exhibit 99.1 and incorporated by reference herein is a press release dated December 16, 2025 issued by the Company and Crescent Cove announcing the acquisition.
