Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. On September 6, 2024, VSee Health, Inc. (the "Company") received a notice (the "Notice") from The Nasdaq Stock Market LLC ("Nasdaq") stating that because the Company had not yet filed its Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2024 (the "Form 10-Q"), the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1). Nasdaq Listing Rule 5250(c)(1) requires listed companies to timely file all required periodic financial reports with the Securities and Exchange Commission (the "SEC"). The Notice states that the Company has 60 calendar days or until November 5, 2024 to submit to Nasdaq a plan to regain compliance with the Nasdaq's listing rules. If Nasdaq accepts the Company's plan, then Nasdaq may grant the Company up to 180 calendar days from the prescribed due date for filing the Form 10-K (or until February 18, 2025) to regain compliance. If Nasdaq does not accept the Company's plan, then the Company will have the opportunity to appeal that decision to a Nasdaq Hearings Panel. The Notice has no immediate effect on the listing of the Company's common stock or its public warrants on The Nasdaq Capital Market. The Company intends to take the necessary steps to regain compliance with Nasdaq's listing rules as soon as practicable. As described in the Form 12b-25 filed with the SEC by the Company on August 14, 2024, the Company is completing valuations related to the acquisition of iDoc Virtual Telehealth Solutions, Inc., a Texas corporation in the de-SPAC transaction back in June 2024 and incorporating such valuations into its financial statements. All the parties are continuing working diligently to complete necessary items and file the Form 10-Q as soon as practicable.
