07 Submission of Matters to a Vote of Security Holders
Item 5.07 Submission of Matters to a Vote of Security Holders As previously reported in the Original Form 8-K, in an advisory vote held at the 2024 Annual Meeting on the Frequency of Say on Pay Proposal, the Company's stockholders, consistent with the recommendation of the Company's Board of Directors, expressed their preference for a Say-on-Pay Vote to be conducted every year. In accordance with this vote and its previous recommendation, the Board has determined that the Company shall submit a Say-on-Pay Vote to a nonbinding advisory vote of the Company's shareholders every year until the next required vote on the frequency of such shareholder votes on the compensation of executives.
