("Wolfspeed") and its wholly owned subsidiary, Wolfspeed Texas LLC (together with Wolfspeed, the "Company"), filed voluntary petitions commencing cases (the "Chapter 11 Cases") under Chapter 11 of Title 11 of the United States Bankruptcy Code (the "Bankruptcy Code") in the United States Bankruptcy Court for the Southern District of Texas, Houston Division (the "Court") to implement a prepackaged chapter 11 plan of reorganization (the "Plan"). On September 8, 2025, the Court entered the Order (A) Approving (I) the Disclosure Statement and (II) Confirming the Joint Prepackaged Chapter 11 Plan of Reorganization of Wolfspeed, Inc. and its Debtor Affiliate, and (B) Granting Related Relief (Docket No. 285) confirming the Plan. Item8.01 Other Events. As previously disclosed, in connection with the Plan, Wolfspeed plans to effect a conversion of Wolfspeed from a North Carolina corporation to a Delaware corporation (the "Corporate Conversion"). Wolfspeed expects that the Corporate Conversion will become effective on or about September 29, 2025.
